Terms of Service

1.1 Services Provided: Lensmingle provides manufacturing, OEM/ODM services, and sales of professional photography equipment including but not limited to light stands, tripods, backdrop supports, and related accessories.

1.2 Service Limitations:

• Services are available to qualified business customers only
• Minimum order quantities may apply for certain products
• Custom manufacturing services subject to technical feasibility assessment
• Delivery timeframes depend on product complexity and order volume

1.3 Geographic Limitations: Services are available worldwide, subject to applicable export regulations and trade restrictions.

2.1 Acceptable Use: Users must conduct business in a professional, ethical, and lawful manner when engaging with Lensmingle services.

2.2 Prohibited Activities:

• Providing false or misleading information during registration or transactions
• Attempting to reverse engineer or copy proprietary designs
• Using our services for illegal activities or purposes
• Interfering with the security or proper functioning of our systems
• Violating any applicable laws or regulations

2.3 Account Responsibility: Users are responsible for maintaining the confidentiality of their account credentials and all activities under their account.

3.1 Lensmingle Property: All trademarks, logos, product designs, technical specifications, and proprietary information remain the exclusive property of Lensmingle.

3.2 Customer Property: Customer-provided designs, specifications, and proprietary information remain the property of the customer. Lensmingle will maintain confidentiality as per signed agreements.

3.3 Joint Developments: Intellectual property rights for jointly developed products will be governed by separate written agreements.

3.4 License Grant: Customers receive a limited, non-exclusive license to use Lensmingle products for their intended commercial purposes.

4.1 Product Warranties: Products are provided with specified warranties as outlined in individual product documentation and purchase agreements.

4.2 Service Limitations: While we strive for excellence, Lensmingle disclaims warranties regarding:

• Uninterrupted or error-free service availability
• Compatibility with all third-party equipment
• Suitability for specific applications beyond stated specifications

4.3 Force Majeure: Lensmingle is not liable for delays or failures due to circumstances beyond reasonable control, including natural disasters, government actions, or supply chain disruptions.

4.4 Limitation of Liability: Our liability is limited to the value of the specific products or services provided, excluding consequential or indirect damages.

5.1 Right to Modify: Lensmingle reserves the right to modify, suspend, or discontinue services with reasonable notice to affected customers.

5.2 Notice Periods:

• Product specifications: 60 days advance notice
• Service terms: 30 days advance notice
• Pricing changes: As per existing contracts or 90 days for new orders

5.3 Existing Orders: Modifications will not affect orders already in production unless mutually agreed upon or required by regulatory changes.

5.4 Terms Updates: These Terms may be updated periodically. Continued use of services constitutes acceptance of modified terms.

6.1 Account Registration: Business accounts require verification of company credentials and authorized representative designation.

6.2 Account Security:

• Users must maintain secure passwords and protect login credentials
• Immediate notification required for suspected unauthorized access
• Regular review and update of account information

6.3 Account Termination: Accounts may be suspended or terminated for violation of these Terms, fraudulent activity, or extended inactivity.

6.4 Data Retention: Account data will be retained according to legal requirements and business needs, typically for 7 years after account closure.

7.1 Preferred Resolution: Parties agree to first attempt resolution through good-faith negotiation and direct communication.

7.2 Mediation: If direct negotiation fails, disputes will be submitted to mediation through a mutually agreed mediator or mediation service.

7.3 Arbitration: Unresolved disputes will be settled through binding arbitration under the rules of the China International Economic and Trade Arbitration Commission (CIETAC) or mutually agreed international arbitration body.

7.4 Class Action Waiver: All disputes must be resolved individually; class action proceedings are not permitted.

7.5 Limitation Period: Claims must be brought within two (2) years of the event giving rise to the dispute.

8.1 Governing Law: These Terms are governed by the laws of the People's Republic of China, excluding conflict of law principles.

8.2 Jurisdiction: For matters not subject to arbitration, the courts of Shaoxing City, Zhejiang Province, China shall have exclusive jurisdiction.

8.3 International Considerations: For international customers, specific contract terms may reference additional applicable laws and international trade conventions.

8.4 Severability: If any provision of these Terms is deemed invalid or unenforceable, the remaining provisions shall continue in full force and effect.

8.5 Entire Agreement: These Terms, together with specific product agreements and purchase orders, constitute the entire agreement between parties.
